Purchase Order Terms, Conditions and Shipping Instructions

for Sidney Manufacturing Company, LLC

  1. This order must not be filled at prices higher than indicated.

  2. Title passes upon receipt and acceptance of merchandise.

  3. We reserve the privilege to reject all goods not delivered at time specified or not agreeing with specifications or sample.

  4. No goods to be sent in excess of order.

  5. Any changes to this order, any variance in price, delivery date, specifications, quantities, or terms must be requested by returning a copy of this order with proposed changes to the Buyer.

    If approved, the changes will be initialed or a revised order will be issued and forwarded to the Seller.

  6. All shipping delays are to be reported to us promptly.

  7. There is no verbal understanding different than conditions shown on this order.

  8. Any agreement modifying the provisions of this order must be in writing and signed by a representative of the Buyer.

  9. If price is omitted on order, Seller's price will be the lowest prevailing market price.

  10. No charges shall be allowed to Seller for boxing, packing, crating, dunnage or cartage unless specifically approved by Buyer.

  11. The Seller warrants that the articles of this order will be in accordance with the specifications and drawings or other descriptions furnished by the Buyer and free from defects in material and workmanship.

    Articles received will be subjected to Buyer's inspection and rejected articles may be returned at Seller's expense. Rejected and returned articles shall be replaced only if replacement purchase order is received from Buyer.

    This warranty also applies to Equipment (as distinguished from material) specified in this order for a minimum period of one year from the date of shipment, and requires that Seller shall remedy such equipment by adjustment, repair or replacement (f.o.b. Seller's original point of delivery) without expense to Buyer.

  12. All shipments must contain packing lists giving description of material, quantity, and purchase order number. The Original Bill of Lading must be furnished with invoices when destination is not billed to address.

  13. Attach Transportation Receipt to Invoice on all prepaid shipments to Buyer.

  14. The Sender shall not assign any rights or claims under this order.

  15. Time is of the essence on this Purchase Order.
